The current Stock capital has been established by Agreement of the Shareholders’ Ordinary general Meeting held 25th April 2012, executed on 31th October 2012, after the registration of the Deed of Merger between Antena 3 and La Sexta before the Commercial Registry of Madrid.
It’s represented by 225,732,800 shares, correlatively numbered from 1 to 225,732,800, both inclusive, with a nominal value of EURO SEVENTY FIVE CENTS (0.75) each, cumulative and indivisible, which enjoy the same rights.
The current nominal value of the shares is a consequence of the resolution adopted by the Shareholders’ Ordinary General Meeting held on 9 March 2005 which, by virtue of such resolution, agreed to decrease the nominal value of shares, which was formerly of three (€ 3) euros, to Euro seventy five cents (€ 0.75). The change in the nominal value of shares was effective, for stock exchange purposes, as from 27 April 2005.
All the shares are registered shares and have been fully subscribed and paid up. The shares are represented by book entries.
